These Terms of Service and End User License Agreement ("Terms") are a legal agreement between you and Ubeni LLC ("Ubeni," "we," "us," or "our") governing your use of Futurely and related services.

1. Acceptance

By downloading, accessing, or using Futurely, you agree to these Terms and our Privacy Policy.

2. Eligibility and age requirements

You must be at least 13 years old to use Futurely. If you are under 18, you may only use Futurely with permission from a parent or legal guardian. Futurely is not intended for children under 13.

3. Account registration and security

You are responsible for maintaining account credentials, keeping account information accurate, and all activity under your account.

4. Subscription terms and complete paywall

Futurely is a subscription app and core functionality may be behind a complete paywall selected during onboarding.

Available options may include:

  • Two-week free trial (if eligible)
  • $5.99 per month
  • $49.99 per year

Payment is charged to your Apple ID/App Store account. Subscriptions auto-renew unless canceled at least 24 hours before the end of the current period. Your account may be charged for renewal within 24 hours before the end of the current period. You can manage and cancel subscriptions in Apple Account/App Store settings. Deleting the app does not cancel a subscription. Refunds are handled by Apple where applicable.

5. License grant

Subject to these Terms, Ubeni grants you a limited, non-exclusive, non-transferable, revocable license to use Futurely for personal, non-commercial use.

6. User content and rights you grant us

You retain ownership of your content. You grant Ubeni a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and otherwise use your content as needed to operate and improve the Services.

7. Social and sharing features

Current social functionality is limited to manual friend sharing. If you delete your account, shared content tied to your account is deleted as part of account deletion workflows, subject to legal and backup constraints.

8. Acceptable use and prohibited conduct

You agree not to use Futurely to:

  • Break laws, violate rights, or engage in fraud or deception.
  • Harass, abuse, threaten, or exploit others.
  • Promote violence, self-harm, sexual exploitation, or child safety violations.
  • Spam, impersonate others, or invade privacy.
  • Attempt unauthorized access, reverse engineer, or bypass security systems.
  • Use AI output as sole professional advice without proper human review.

9. AI disclaimer and no professional advice

AI output can be inaccurate, biased, incomplete, outdated, offensive, or unsuitable. Futurely does not provide medical, legal, financial, tax, mental health, safety, or emergency advice.

10. Moderation, suspension, and termination

We may review, restrict, remove, or disable content/accounts to enforce these Terms, including when content is flagged as sensitive. We may suspend or terminate access for violations, abuse, legal compliance, or operational reasons.

11. Intellectual property

Futurely, including software, branding, and related materials (excluding your content), is owned by Ubeni or its licensors and protected by law.

12. Third-party services

Futurely depends on third-party providers including Apple, Firebase/Google Cloud, and OpenAI. We are not responsible for services outside our control.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UBENI AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF DATA, PROFITS, OR BUSINESS. OUR TOTAL LIABILITY FOR CLAIMS RELATED TO THE SERVICES IS LIMITED TO THE GREATER OF: (A) AMOUNTS YOU PAID FOR FUTURELY IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.

15. Indemnification

You agree to indemnify and hold harmless Ubeni from claims, losses, liabilities, and expenses arising from your misuse of the Services, your content, or your violation of these Terms or applicable law.

16. Governing law

These Terms are governed by the laws of Illinois, United States, without regard to conflict-of-law principles.

17. Changes to terms

We may update these Terms from time to time. Updated versions become effective when posted with a revised effective date.
